Özet

Özel denetim, pay sahiplerine şirkete ilişkin belirli konularda pay sahibinin bilgi sahibi olması suretiyle haklarını daha bilinçli bir şekilde kullanmasına imkân sağlamaktadır. Özel denetçinin atanması TTK’da öngörülen sürecin tamamlanmasına bağlıdır. Bu sürecin ilk aşaması özel denetçi atanması teklifiyle anonim şirket genel kuruluna başvurudur. Ancak genel kurula teklif hakkına kimlerin sahip olduğu tartışmalıdır. Bu çalışmada kimlerin hak sahibi olduğunu sorusunun cevabı aranmaktadır. Ayrıca bu hakkın nasıl kullanılması gerektiği de bu çalışmada incelenmektedir.

Special audit allows shareholders to use their rights more consciously with the clear knowledge about some issues related to the company.  The appointment of the special auditor is depends on the completion of the process regulated in the TCC. The first stage of this process is to request for appointment of special auditor to general assembly of joint-stock company. However, it is a controversial issue who can exercise the right in the general assembly. This paper will try to answer the question of who has the right to offer. Furthermore, the principles for the use of the right to offer will be examined.
